SECTION A: MERCHANT TERMS & CONDITIONS

Agreement between Omnilogic Private Limited and the Merchant.

1. Introduction

These Merchant Terms & Conditions (“Terms”) constitute a binding agreement between Omnilogic Private Limited (“Omnilogic”, “Company”, “we”, “our”, “us”) and the business entity (“Merchant”, “you”, “your”) registering for or using the Perrq Merchant Mobile Application (“App”), the Perrq loyalty management dashboard, or any loyalty-based services (“Services”). By registering, installing the App, or using the Services, you agree to these Terms.

2. Definitions

• “Merchant Wallet” – Prepaid digital wallet used to purchase Perrq Points for distribution.
• “Perrq Points” – Digital reward units created by Perrq and purchased by merchants for consumer distribution.
• “Stores” – Physical retail outlets, service locations, or digital points of sale operated by participating Merchants where Consumers may earn or redeem Perrq Points. Perrq does not operate or control any Store.
• “Vouchers” – Digital reward instruments or coupons. Vouchers do not represent cash, are not transferable for monetary value, and are non-refundable.
• “KYC Verification” – Mandatory identity and business verification required to activate merchant accounts.

3. Merchant Eligibility & Registration

To use Perrq, a Merchant must be a legally registered business entity in India, complete mandatory KYC verification (PAN, GST, Bank), and provide accurate business information. Perrq reserves the right to reject onboarding at its sole discretion.

4. Merchant Obligations

You agree to maintain truthful business information, ensure employees are trained, and maintain sufficient wallet balance. You must honor and redeem all valid vouchers purchased or redeemed by Consumers at your Stores. You must strictly follow applicable laws, including GST and the DPDP Act (2023).

5. Merchant Wallet & Payments

• Wallet Funds: Used exclusively to purchase Perrq Points. Funds are not interest-bearing.
• Withdrawal: Unused wallet funds may be withdrawn only upon the Merchant’s request for permanent deletion of its Perrq account. No withdrawal or unloading is permitted while the account remains active.
• No Cash Conversion: Wallet balance cannot be converted into cash for consumers or transferred to another merchant.

6. Loyalty Program Configuration

Merchants may configure earning ratios (₹X = Y Points), bonus points, and point caps. Merchants must not mislead consumers by advertising benefits not actually configured in the App.

7. Perrq Point Issuance

Points are deducted from the Merchant Wallet and added to the Consumer Wallet in real-time. Perrq may reverse points in cases of fraud, duplicate scans, or refunded transactions. Perrq’s decision regarding adjustments is final.

8. Fraud, Abuse & Prohibited Activity

Prohibited actions include issuing points for fake transactions, inflating bills, issuing points to employees, or using VPNs/emulators. Perrq may freeze wallet balances, withhold payouts, or terminate accounts for fraud.

9. QR Scanning & Liability

The Merchant must ensure the consumer is physically present. Perrq is not liable for errors caused by device malfunction or staff negligence. Disputes regarding transactions must be resolved between the Merchant and Consumer.

10. Fees & Taxes

Perrq may charge subscription or transaction fees. All prices are exclusive of GST unless stated otherwise.

11. Analytics

Dashboard analytics are indicative and not audited financial statements. Perrq is not liable for business decisions made using these metrics.

12. Intellectual Property

All Perrq trademarks, software, and algorithms remain Perrq’s exclusive property. Merchants may not reverse engineer or copy the platform.

13. Termination

Perrq may suspend or terminate accounts for fraud, KYC issues, or violation of Terms. Upon termination, funds may be frozen pending investigation.

14. Limitation of Liability & Indemnity

Perrq is not liable for indirect damages or loss of business. The Merchant agrees to indemnify Perrq against claims arising from incorrect transactions, fraud, or legal breaches.

15. Governing Law

These Terms are governed by Indian law. Disputes fall under the exclusive jurisdiction of Mumbai courts.

SECTION B: CONSUMER TERMS & CONDITIONS

Agreement between Omnilogic Private Limited and the User (Consumer).

1. Introduction

These Terms govern your access to the Perrq Consumer Mobile Application (“App”). By installing or using the App, you agree to these Terms, the Privacy Policy, and other applicable policies.

2. Definitions

• “Perrq Points” – Digital reward points provided by merchants and stored in your Perrq Wallet.
• “Wallet” – The digital wallet in the App where points are recorded.
• “Rewards Marketplace” – Section where users can redeem points for vouchers or benefits.
• “Vouchers” – Digital tokens representing a right to receive specific goods or services. They are not cash and are non-refundable.

3. Eligibility

You must have a valid mobile number registered in India and use the App for lawful personal purposes only.

4. Use of Perrq Points

• Nature: Points are not legal tender and cannot be redeemed for cash.
• Earning: Points are earned based on merchant-defined rules via purchases or QR scans.
• Redemption: Points may be redeemed only through the App. All redemptions are final.
• Expiry: Points may expire after a period of inactivity without prior notice.

5. Wallet & Adjustments

Perrq may make adjustments to your Wallet in cases of incorrect issuance, fraud, refunds, or system errors. Perrq is not liable for non-issuance of points resulting from Merchant disputes.

6. Rewards Marketplace

Rewards are subject to availability. Third-party vendors are solely responsible for product quality and delivery. Perrq is not liable for product quality or warranties.

7. User Obligations

You agree NOT to manipulate points, create fake accounts, use VPNs, or conduct chargeback fraud. Violations may lead to account suspension and point forfeiture.

8. Privacy & Data

Perrq complies with the Digital Personal Data Protection Act (DPDP 2023). We collect personal, transaction, and device data to improve services and prevent fraud. For full details, please refer to the Privacy Policy.

9. Third-Party Services

The App may integrate with payment gateways and third-party partners. Perrq does not control third-party performance.

10. Termination

Perrq may terminate accounts for fraud, misuse, or violation of Terms. Accumulated points may be forfeited upon termination.

11. Limitation of Liability

To the maximum extent permitted by law, Perrq is not liable for merchant errors, refusals, disputes, or indirect damages.

12. Indemnity

You agree to indemnify Perrq against claims arising from your misuse of the App or fraudulent activity.

13. Governing Law

Governed by the laws of India, with exclusive jurisdiction in Mumbai, Maharashtra courts.
